1. Acceptance of Terms

By downloading, installing, or using Spend Guard ("the App"), you agree to these Terms and Conditions ("Terms") and our Privacy Policy. If you do not agree, please uninstall and stop using the App. These Terms form a legally binding agreement between you and Itera Labs, Nairobi, Kenya.

2. Description of Service

Spend Guard is a personal finance tracking application that helps you log expenses, income, budgets, savings goals, and bills in one place. Core features include:

• Manual entry of financial records with categories, tags, and notes.
• Automated budget alerts and spending insights.
• Offline record capture with automatic background sync.
• Secure access via email/OTP, PIN lock, and biometric authentication.
• Push notifications for budget limits and reminders (opt-in).

3. Eligibility

You must be at least 18 years old to use Spend Guard. By using the App, you represent and warrant that you meet this requirement. If we discover that an account belongs to a person under 18, we will terminate that account and delete associated data promptly.

4. Account Registration

• You must register with a valid email address and verify it via OTP.
• You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
• Notify us immediately at hello@iteralabs.tech if you suspect unauthorized access to your account.
• You may not create accounts for other people without their consent.

5. License to Use the App

Itera Labs grants you a limited, non-exclusive, non-transferable, revocable license to install and use Spend Guard on your personal Android device solely for your own personal, non-commercial financial tracking. You may not sublicense, sell, resell, copy, modify, reverse-engineer, or create derivative works of the App or its content.

6. User Responsibilities

You agree not to use the App to:

• Violate any applicable Kenyan or international law or regulation.
• Attempt to gain unauthorized access to our servers, databases, or other users' accounts.
• Transmit malicious code, viruses, or disruptive data.
• Use the App for money laundering, fraud, or any other financial crime.
• Scrape, mine, or systematically extract data from the App for any commercial purpose.

7. No Financial Advice

Spend Guard is a personal record-keeping and budgeting tool. Nothing in the App constitutes financial, investment, tax, or legal advice. Insights, charts, and budget summaries are for informational purposes only, based solely on the data you enter. Always consult a qualified financial professional before making financial decisions. Itera Labs accepts no liability for financial decisions made based on App content.

8. Data Accuracy

All financial records in the App are entered by you. Itera Labs is not responsible for inaccuracies arising from incorrect, incomplete, or outdated data you provide. You are solely responsible for ensuring the accuracy of your records.

9. Intellectual Property

All intellectual property rights in the App - including the name "Spend Guard," logo, design, source code, and content - are owned by or licensed to Itera Labs. Nothing in these Terms transfers any IP rights to you. You retain ownership of the financial data you enter into the App.

10. Availability & Updates

We strive for high availability but do not guarantee uninterrupted service. We may temporarily suspend the App for maintenance, upgrades, or security patches. We reserve the right to modify, add, or remove features at any time. Continued use after an update constitutes acceptance of any changes.

11. Termination

We may suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms. You may delete your account at any time by contacting us at hello@iteralabs.tech. Upon termination:

• Your license to use the App ends immediately.
• Your personal data will be permanently deleted within 30 days per our Privacy Policy.
• You should export any records you wish to keep before requesting deletion.

12. Disclaimer of Warranties

The App is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the App will be error-free, uninterrupted, or free of harmful components.

13. Limitation of Liability

To the maximum extent permitted by Kenyan law, Itera Labs and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, lost profits, or financial loss arising out of your use of or inability to use the App - even if advised of the possibility of such damages. Our total liability shall not exceed the amount you paid (if any) for the App in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless Itera Labs from any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from your use of the App, violation of these Terms, or infringement of any third-party rights.

15. Third-Party Services

The App uses Firebase Cloud Messaging and Firebase Crashlytics (Google LLC). Use of those services is subject to Google's own terms and privacy policies. Itera Labs is not responsible for the conduct of any third-party service providers.

16. Changes to These Terms

We may update these Terms from time to time. The effective date at the top of this page will reflect the latest revision. For material changes, we will notify you via an in-app prompt or push notification. Continued use of the App after changes constitutes your acceptance of the revised Terms.

17. Governing Law & Disputes

These Terms are governed by the laws of Kenya. Any disputes arising from these Terms or your use of the App shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of Nairobi, Kenya.
